Terms and Conditions

These Terms and Conditions ("Terms") form a binding agreement between you and Laddro Digital UG (haftungsbeschränkt) when you use Vunna. By creating an account, signing in, or using any part of Vunna, you accept them. If you do not accept them, do not use Vunna.

We have written these Terms in plain English, using the exact wording only where the law requires it. If anything is unclear, write to hello@getvunna.com.

2. What Vunna does

Vunna monitors published public procurement notices, compares them against a profile you build describing your company, and shows you the ones it judges relevant. Depending on your plan it includes:

  • A company profile you create yourself, or draft automatically by pointing us at your website.
  • A matched feed of tender notices from TED, the EU Tenders Electronic Daily, on every plan including the free one.
  • Additional national procurement portals on paid plans.
  • A deadline view, and the ability to save or dismiss individual notices.
  • An explanation of why a notice was matched, and a place to tell us the match was wrong.
  • A daily digest email to an address you choose.

Features described on our website as planned or coming soon are not part of what you buy until they exist. We may change, add to or withdraw features; Section 12 applies where a change materially reduces what you have paid for.

3. What Vunna is not

Vunna does not guarantee that you will see every tender relevant to you. It is a monitoring aid, not a complete register and not a substitute for checking the official procurement portals yourself. A notice can be missed because a publisher changed a format, because a source was unavailable, because a notice was filed under a classification we did not expect, or because our matching judged it irrelevant when it was not.

Always verify a deadline at the source before you rely on it. Dates, values, contact details and documents shown in Vunna are copies of what the publisher released at the time we read it. Publishers correct, extend and withdraw notices, and a correction can reach us late or not at all. Every notice links to its original; that original governs.

Vunna gives no legal, procurement or bidding advice. We are not a party to any procurement procedure, we do not submit bids for you, and we have no relationship with the contracting authorities whose notices we show.

4. Who may use Vunna

Vunna is a business tool. You may use it on behalf of a company, an organisation or yourself as a sole trader, and you must be at least 18 years old and able to enter into this agreement. If you use Vunna for an organisation, you confirm you are authorised to accept these Terms for it.

5. Your account

You sign in with your email address and a password. You agree to give accurate information, to keep your password confidential, and to tell us at once if you believe someone else has reached your account. You are responsible for activity under your account.

One account is for one organisation. Sharing a single account across separate businesses, or reselling access to your feed, requires our written agreement.

6. Acceptable use

We grant you a non-exclusive, non-transferable, revocable licence to use Vunna for your own procurement and business development purposes. You must not:

  • Scrape, crawl or systematically extract the service or its matched feed by automated means.
  • Republish, resell or redistribute our matching, scoring or explanations as a product of your own.
  • Attempt to reach accounts, data or systems that are not yours, or interfere with the service or its infrastructure.
  • Use Vunna to send unsolicited commercial messages to buyer contacts named in a notice.
  • Enter another person’s personal data into a company profile without a lawful basis for doing so.
  • Use the service for unlawful activity, or in breach of the terms of the procurement portals whose notices it shows.

We may investigate and, where warranted, suspend or close an account for a breach of this section.

7. Your content

Your company profile, your saved notices, your feedback on matches and everything else you enter stay yours. You grant us a worldwide, non-exclusive, royalty-free licence to store and process them strictly in order to run the service for you: to match notices against your profile, to send your digest, and to show you your own data. The licence ends when you delete the content or your account, subject to the retention periods in the Privacy Policy.

We use feedback you give on a match to improve matching. We do not sell your data, we do not share it with advertisers, and we do not use your profile to train third-party AI models.

The service itself, including its software, design, matching logic and branding, belongs to us and our licensors. Tender notices belong to their publishers.

8. AI features

Vunna uses AI models operated by third parties to read your website into a draft profile, to judge whether a notice matches your profile, and to explain why. The Privacy Policy names those providers.

AI output is provided as is. A relevance score and its explanation are an opinion produced by a model, not a finding of fact. They can be wrong in both directions: a relevant tender can be scored low, and an irrelevant one can be scored high with a convincing explanation. Read the notice itself before you act on it.

9. Plans and payment

Vunna has a free plan and paid monthly plans. Current prices and what each plan includes are shown on our website and on your billing page before you pay. Prices are quoted in euro.

Paid plans renew automatically every month until you cancel. You can cancel at any time on your billing page. Cancelling takes effect at the end of the period you have already paid for, and you keep access until then. We do not pro-rate a part-used month, except where Section 10 or the law requires it.

Payments are processed by Stripe Payments Europe Ltd, under Stripe’s terms and privacy policy. We never see or store your full card number.

Because we sell to businesses across the EU, we need your company billing address before a subscription can start, and a VAT identification number if you have one. That is what decides whether your invoice carries German VAT or is reverse charged, and an invoice without it is not one your accountant can book. Your invoices are available on your billing page.

10. Right of withdrawal for consumers

Vunna is sold to businesses, and the statutory right of withdrawal applies to consumers rather than to businesses. If you are nevertheless a consumer in the European Union or the wider European Economic Area, the following applies to you.

Right of withdrawal. You have the right to withdraw from this contract within 14 days without giving any reason. The period is 14 days from the day the contract was concluded, which is the day your purchase is confirmed.

You may use the model form in Section 11, but you do not have to; any clear statement is enough. Sending it before the 14 days expire is sufficient to meet the deadline.

Effects of withdrawal. We reimburse all payments received from you without undue delay and no later than 14 days from the day we are informed of your decision, using the same means of payment you used, at no fee to you.

12. Changes to price and service

We may change prices. For a running subscription we give at least 30 days’ notice by email or in the application, and the new price applies from the billing period after that notice. If you do not want to continue at the new price, cancel before it takes effect.

Public procurement portals change their formats, their licences and their availability, and some may stop being usable. If a source we advertise becomes unavailable for an extended period we will tell you, and if the change materially reduces what you pay for you may cancel with effect from that point and we will refund the unused part of the period.

13. Ending this agreement

You can stop using Vunna at any time. To close your account and have your data deleted, write to hello@getvunna.com; there is no self-service delete button yet, and we act on the request within 30 days. Cancelling a paid plan on the billing page ends the subscription but keeps the account.

We may suspend or close an account, without notice where the circumstances require it, if you breach these Terms, if your use puts the service or other customers at risk, if the law requires it, or if we withdraw the service. If we withdraw the service we refund the unused part of any period you have paid for.

14. Availability

We work to keep Vunna available but do not promise a particular uptime. Maintenance, third-party outages and problems at the source portals can interrupt the service or delay a digest.

15. Disclaimer

To the maximum extent permitted by law, the service is provided "as is" and "as available", without warranties of any kind, express, implied or statutory. In particular we do not warrant that the matched feed is complete or accurate, that a notice shown is still open, that AI output is correct, that the service will be uninterrupted or error free, or that defects will be corrected.

Nothing here excludes or limits anything that cannot be excluded or limited under the law that applies to you, including EU and German consumer protection law.

16. Liability

To the maximum extent permitted by law, we are not liable for indirect, incidental, special or consequential damage, nor for lost profit, lost revenue, lost data or lost business opportunity. That expressly includes a tender you did not see, a tender you saw late, a deadline you missed, a bid you did not submit, and a contract you did not win.

Our total liability for all claims under or relating to these Terms is limited to the greater of one hundred euro and the amount you paid us in the twelve months before the event that gave rise to the claim.

This limitation does not apply to liability that cannot be limited under the law, including liability for intent or gross negligence under German law, liability for injury to life, body or health, and liability under the German Product Liability Act.

17. Law and disputes

These Terms are governed by the law of the Federal Republic of Germany, excluding its conflict of law rules and the United Nations Convention on Contracts for the International Sale of Goods. The courts of Berlin have jurisdiction, subject to any mandatory consumer rule that lets you bring proceedings where you live.

We are not obliged to take part in proceedings before a consumer arbitration body and generally do not.

18. General

  • Entire agreement. These Terms and the Privacy Policy are the whole agreement between us about the service.
  • Severability. If a provision is invalid, the rest stands.
  • No waiver. If we do not enforce a right, we have not waived it.
  • Assignment. You may not transfer your rights without our written agreement. We may transfer ours, for example in a sale of the business, and will tell you if we do.
  • Force majeure. We are not liable for a failure caused by something outside our reasonable control, including a third-party outage.

19. Changes to these Terms

We may change these Terms. For a material change we give at least 30 days’ notice by email or in the application before the new version applies. Continuing to use Vunna after that date means you accept it.
